SFA Semicon Philippines Corporation (SSP) Tender Offer

Attention SSP Shareholders:

SFA Semicon Co. Ltd. (“SSK” or the “Bidder”), has declared an intention to make a tender offer (the “Tender Offer”) for the subject company SFA Semicon Philippines Corporation (“SSP” or the “Company”), for the purpose of the voluntary delisting from the Main Board of The Philippine Stock Exchange, Inc. (“PSE”) after the completion of the Tender Offer.

Details of the Tender Offer:

Bidder: SFA Semicon Co. Ltd. (SSK)

Tender Offer Price: PHP 2.22 per share

Tender Offer Period: October 14, 2024 – November 12, 2024

Deadline to Tender: November 11, 2024, 12:00 noon.

Cross Date: November 21, 2024

Settlement Date: November 22, 2024

Date of Delisting: expected to be effective by December 12, 2024
