8990 Holdings, Inc. (HOUSE) Tender Offer

Attention HOUSE Shareholders:

Please be advised that 8990 Housing Development Corporation (“8990 HDC” or “The Bidder”) is conducting a tender offer to acquire up to 580,570,390 common shares of 8990 Holdings, Inc. (“HOUSE” or the “Company”).

Subject to the approval of the PSE, the Bidder and the Majority Shareholders intend to voluntarily delist the Company from the Main Board of the PSE after completion of the Tender Offer (the “Voluntary Delisting”).

Details of the tender offer are as follows:

Offer Period:	September 2, 2025 – September 30, 2025
Tender Offer Price:	Php 10.42
Cross Date:	October 7, 2025
Settlement Date:	October 9, 2025
Internal Deadline to Tender:	September 26, 2025, 12:00 pm
Voluntary Delisting Date:	October 29, 2025
